14 October 2017 – Supporting Team HOSPICE at Bucharest Marathon

Nearly 600 runners, trained good-doers, attended the Raiffeisen Bank Bucharest Marathon. 9 October 2017 – Maravela|Asociații, speaker at GDPR – Data protection & security Professional Forum

Managing Associate Mihai Buciuman gladly accepted the invite to attend, as speaker, the GDPR Forum organized by the National Internal Control Institute (INCIR). Mihai discussed about new versus the current privacy protection regulation and its grey areas, presenting practical consequences and potential solutions thereto. The Forum addressed the GDPR Regulation that will enter into force on 25 May 2018 and the fact that implementing GDPR constitutes a real challenge for companies, that will need to be prepared to ensure compliance with the rather complicated legislation in the field of personal data processing and protection. 27 September 2017 – Maravela|Asociații awarded for the biggest transaction in the industry

The law firms that enabled the biggest transactions of 2016 and beginning of 2017, agreements in various sectors such as retail, real estate, industry and energy were awarded by Ziarul Financiar during the eighth edition of the Lawyers’ Gala. Maravela|Asociații received the award for the industry’s largest transaction, closed at the beginning of 2017, being nominated for assisting Astra Rail Industries in the merger with Greenbrier and for the acquisition of Jolidon, Romanian textile producer present in over 60 countries, currently undergoing insolvency proceedings. The award was attributed for the 60 milion Eur merger between the German group Astra Rail Management (currently Astra Holding) and the American group Greenbrier. 23 August 2017 – Maravela|Asociații advises Chimcomplex on the acquisition of assets from Oltchim

Maravela|Asociații represented Chimcomplex Borzești S.A. in the tender for the assets of Oltchim, one of the leading players in the Romanian and Central Eastern European chemical industry.

The complex legal assistance comprises all transaction related aspects, including due diligence, preparing the tender, assistance in relation with the financers, negotiation of the transaction documents, liaising with the environment and competition authorities.

Maravela|Asociații’s team assigned to the project consists of over 10 lawyers. Gelu Maravela and Dana Rădulescu provide assistance regarding the due diligence process, tender preparation, transaction documents’ drafting and financing, whilst Alina Popescu and Magda Grigore assist with regard to competition aspects, including complex State aid analysis and merger control related aspects. Insolvency matters are coordinated by Dana Rădulescu and Mirela Metea, Dana Rădulescu and Daniel Alexie ensured the environment related assistance, whilst Daniel Vinerean coordinated the real estate matters advice.

Chimcomplex was equally assisted by the Brussels office of the German law firm Gleiss Lutz in defining the strategy as well as in the relationship and liaison with the European Commission regarding State aid. The lawyers from Gleiss Lutz were coordinated by Dr. Ulrich Soltész, prominent European figure in the field of competition, together with his colleague Dr. Thomas Pflock.

The bid for the acquisition of Oltchim’s assets has been submitted and the finalization of the selection process is currently expected.

18 August 2017 – Maravela|Asociații assisted the American group Standex

Maravela|Asociații assisted the Amercan Group Standex International Corporation regarding its first investment on the Romanian market, namely the acquisition of the Romanian branch of Piazza Rossa Group. The transaction was completed at the beginning of the current month, being reported on the New York Stock Exchange (NYSE), where the group is listed (SXI).

Founded in 1995 and currently employing over 5,400 people in the U.S. and numerous other countries including Australia, Brazil, Canada, China, Japan, Europe, Mexico, India, Turkey, South Africa, South Korea, Russia, Malaysia and Singapore, Standex group holds 12 operating units, organized into five reporting segments: Food Service Equipment Group, Engraving Group, Engineering Technologies Group, Electronics Group and Hydraulics Group. The Engraving Group took over the Romanian subsidiary of Piazza Rossa Group.

Piazza Rosa Group, founded in 1983 near Venice, Italy, has market leading capabilities in polishing, laser welding, laser hardening, laser cladding and repair / maintenance services. Piazza Rossa Group operated three facilities: one in Italy, one in Romania and another one in Mexico.

13 July 2017 – Maravela|Asociații lead counsel for World Bank’s regional project

Already a tradition for firm’s specialists, Maravela|Asociații equally contributes to this year’s World Bank publications. As lead counsel for Romania, Maravela|Asociații coordinated 40 Romanian legal professionals based in 9 different cities and over 90 filled in questionnaires covering the three areas of practice concerned. In addition, we have revised and edited the template questionnaires used for the research.

Structured in 11 categories, World Bank’s collections of publications comprise, among others, annual reports, independent assessments, journals, technical guides, economic and sector focused guides (tourism, education, justice, climate change) and specialized articles.

About HOSPICE Casa Speranței

HOSPICE Casa Speranței, currently celebrating 25 years of activity, is one of the renowned non-profit organizations in Romania, with national coverage. The organization has developed, over time, two integrated services centres in Brașov and Bucharest, as well as mobile care units in Făgăraș and Zărnești, for the care of those who were diagnosed with incurable diseases. Throughout all this time, the organization has brought hope and relief to over 22.000 children and adults diagnosed with incurable diseases.

The 25th anniversary of the HOSPICE Casa Speranței in Romania received the visit of His Royal Highness The Prince of Wales, at the Bucharest centre of the Foundation, when he expressed his deepest appreciation for the work done and the support offered by HOSPICE to children and adults diagnosed with incurable diseases.

About the Campaign

Once again in 2017, HOSPICE Casa Speranței launched the 2% Campaign, calling for the sensibility of the public through the slogan: “Do not let those fighting for their lives become invisible”. The organization encourages taxpayers who have earned in 2016 taxable income in Romania to support free palliative care by redirecting 2% of their income tax to HOSPICE Casa Speranței. The procedure does not involve any costs, the amount redirected being already retained by the fiscal authorities from the 2016 tax return. While employees have the dedicated Form 230, those with income from self-employment (authorized individuals, rents, etc.) can redirect when filling in their income statement (Form 200). Forms containing all necessary information and the Foundation’s details are available at doilasuta.hospice.ro, and may be submitted and/or sent, according to the current legal provisions, until May 25, 2017, to the National Agency for Fiscal Administration (ANAF).

25 October 2016 – Maravela|Asociaţii supports HOSPICE Casa Speranţei

Starting with this year, Maravela|Asociații acts as honorary patron of HOSPICE Casa Speranței’s Adunații Copăceni socio-medical project.

The nongovernmental charity organization HOSPICE Casa Speranței was established in Braşov, in 1992, at the initiative of the British Graham Perolls, with the purpose of introducing and developing palliative care for children and adults suffering from a terminal illness.

The organization currently holds two integrated services centres in Brașov and București and mobile teams in Făgăraș and Zărnești. HOSPICE developed complete palliative care services, offered in day centres, walk in clinics, own inpatient units, at the patients` homes and in partner hospitals. In its 24 years of existence, HOSPICE brought relief and hope for more than 20.000 children and adults suffering from terminal illnesses. HOSPICE Casa Speranței develops palliative care nationally and internationally through informational campaigns, educational programs dedicated to professionals, patients and the entire community, as well as by improving the related legislation.

In its capacity as honorary patron, Maravela supports the activity of HOSPICE Casa Speranței through various endeavours: encouraging its employees and collaborators to redirect 2% of their income tax towards HOSPICE Casa Speranței, attending events organized by the organization (galas, charity dinners, sports events) and actively attending the foundation`s organizational meetings, offering pro bono legal assistance, through press campaigns, involvement in fundraising activities and so on.

17 October 2016 – Maravela|Asociații at International Bar Association’s Competition Conference

As part of our continuous team training and informational process, Associate Magda Grigore attended the Annual Competition Conference in Florence, Italy, during October 14-15. Magda stated: “The conference provided an excellent opportunity of discovering inspiring ideas regarding the current trends in antitrust enforcement, as well as a realistic approach to the challenges faced by lawyers involved in mergers at the present moment. 28 June 2016 – Best Lawyers: repeated international acknowledgement for Maravela|Asociaţii lawyers

19 May 2016 – A great loss in this mournful day

There are no right words to express our utmost regret for losing an amazing person, a close friend, a real mentor and an excellent professional such as Co-Managing Partner Marius Pătrăşcanu. He founded this firm, with his immense passion and dedication, never being too busy to give a hand, never being too sad to smile and address a good word. He is one of the reasons we are where and what we are today. We were blessed and fortunate to have had a chance to have him amongst us, and he will forever be remembered. 17 May 2016 – Maravela|Asociaţii’s reputed litigation department in the jury of “Francisc Deak” National Moot Court Competition

On May 14th 2016 it was the third time that our firm supported the annual educational activities of ELSA (European Law Student Association), through active involvement of our litigation department’s members in various projects developed by ELSA Romania. 27 April 2016 – Maravela|Asociații, actively involved in sustainable regional development

Wednesday, April 27, Maravela|Asociaţii was a key and active part of the HotSpot Braşov event, as part of the Sustainable Romania project, organized under the aegis of DeBizz Magazine, the only German-Romanian business publication on the market.

Gathering business sector top members, public authorities’ representatives and being moderated by Daniel Apostol, a renowned Romanian economic media figure, the event aimed to elicit interest in the development of Braşov’s economy and local community, a city considered to be the heart of Romania and having a very important economic growth potential. To this end, the event consisted of interactive debates meant to provide pragmatic, feasible and practical solutions.

8 February 2016 – Maravela|Asociaţii invited as speaker at INCIR’s Antifraud & Anticorruption Conference

11 November 2015 – A big step ahead within Maravela|Asociaţii: Ioan Roman promoted to partnership and co-head of the dispute resolution department

Maravela|Asociații is pleased to announce the consolidation of its Litigation, Arbitration and ADR team further to the promotion of Ioan Roman and Mirela Metea within the firm`s management structure.

Ioan Roman is our new Managing Associate, his promotion being a natural outcome of his exceptional results in commercial disputes and arbitrations. 17 October 2013 – The team led by Gelu Maravela obtains the annulment of financial corrections inflicted to a regional contracting authority

The team led by Gelu Maravela announces its successful representation of a regional contracting authority in a litigation against the Romania’s Ministry of Environment. The contracting authority whose name cannot be disclosed at this point is a state-owned company running a EUR120 million European funding project. The company in question was compelled by the Ministry of Environment to pay a significant financial correction in connection with the project, correction which was annulled following the favourable decision rendered by the Romanian Supreme Court (the High Court of Cassation and Justice) in appeal. Based on that decision, which was one of the few such solutions related to the financial corrections applied by the state-authorities in charge, the contracting authority joined a very small number of authorities with no financial corrections.

11 April 2013 – Maravela|Asociații contributes to IFC and World Bank surveys

The International Financial Corporation and the World Bank called for our contribution to the 2014 edition of the reputed Doing Business publication, which provides objective measures of business regulations and their enforcement across 185 economies and selected cities at the subnational and regional level. Maravela|Asociații has forthwith provided the IFC and World Bank with valuable information on Romanian legal framework and business practice in several areas, encompassing contract enforcement, financing, investors protection, energy, property registration, construction permits, insolvency, business start-ups, cross-border trading and employment. Maravela|Asociații grows stronger by the recent accession of Marius Pătrășcanu, a dedicated attorney with acknowledged skills in several fields of practice, who has joined us as equity partner. Before joining Maravela|Asociații, Marius has been a senior asscoiate with Mușat & Asociații and has gathered extensive expertise in major M&A deals, intricate regulatory, corporate and commercial matters pertaining to various industries (including IT & Telecommunications and Pharmaceuticals & Healthcare), as well as in all aspects concerning real estate and construction, including financing and securitization. Marius holds an LL.B degree awarded by Iași University Law School, has authored a study on legal protection of computer programs and is a constant contributor to national and international legal publications.

With over 10 years of experience as counsel in a large number of major projects unfolded on the Romanian market, Alina Popescu has gained solid expertise in M&A and FDI matters, commercial & contract law, international arbitration and amicable settlement of high value disputes. In terms of recent achievements, Alina was lead counsel in the successful sale of the state-of-art manufacturing facility held by one of the world leaders in mobile communication devices and has counselled a major German investor in the acquisition of three distressed freight wagons manufacturing businesses holding a significant share of the European market. Before joining Maravela|Asociații, Alina was a partner with one of the top tier Romanian law firms. She holds an LLM degree in European Union Law awarded with distinction of merit by the French University of Montesquieu Bordeaux IV, and has authored numerous legal digests, articles and surveys of interest for the business law community.
